What the client and designer both agree: As a client, you agree to provide everything that I need to complete the project, including text, images, and other information as and when needed, and in the format that I ask for. You agree to review the work, provide feedback, and sign off on approval promptly too. Deadlines work two ways, and you will also be bound by any dates that we mutually agree on. You also agree to stick to the payment schedule set out at the end of this contract.
I have the experience and ability to perform the services you need from me, and I will carry them out in a professional and timely manner. On top of this, I will also maintain the confidentiality of any information that you give us.
I will create the required design for your company, as required. And you will have the opportunity to revise it before proceeding to the next creative.
Corrections and revisions: The general delivery timeline for the first design concepts is 7 business days (Monday to Friday). Every subsequent change will be delivered in 2–3 business days. More complex changes or redraws may be delivered in up to 5 business days (depending on the complexity of the work). All redraw deadlines are determined by the receipt of all necessary information about the redesign of the artwork.
Changes and revisions: If there are any changes to be made, then the maximum number of free edits will be 2. If you decide to add extra changes, then the additional edits will incur an extra amount.
Along the way, I might ask you to put requests in writing so I can keep track of changes. Communication on WhatsApp makes the design process difficult. Images and copies should always be shared through emails.
Loss Of Data: The client will not be entitled to any form of compensation from me in the event of loss of data, therefore it is recommended that the client also takes steps to back up their design materials. Once the payment is done and the designs have been sent to the client, it’s the client’s responsibility to keep the files safe as I do not save all the files after project completion and I will not take the responsibility to send them the files again, in case the client loses their files.
Portfolio and Website credit: I reserve the right to add completed projects to my portfolio and a website credit to the footer of your website. If there is a privacy issue involved, please inform me.
Abandoned Projects: A project will be considered abandoned if I have not heard from you in 15 days. You will not have any right to use any of the work that was presented to you unless the project has been paid in full. If I have not heard from you and you contact me after the 15-day abandonment, a start-up fee of ₹1000 may apply.
Legal Rights Agreement: If any provision of this agreement shall be unlawful, void, or for any reason is unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
Graphic designs created by me are custom-created and exclusive to each business, so the designs are yours after the final payment has been made. I do not file a trademark application concerning the artwork designed for my client. The client is free to register a trademark for the design created for them by me. If payment for any design is not made according to the payment policies, then all of the client’s rights for the design created for it, including any trademark property, will immediately revert to Swati Tripathi (The Ministry Of Pixels) I guarantee that the designs are my creation and are not copied from trademarks, but I do not warrant that a design the same as or similar to that designed by me, of which I was not aware at the time of its creation, does not exist.
I hold no responsibility for retraced images. Any idea provided by the client: sketch, copy, file… that I am asked to use in the design process removes its responsibility from any copyright violation or warranties. In such circumstances, I cannot guarantee the originality of its work and therefore will not be held liable for any damages or violations.
Payment Policy: I understand how important it is as a small business that you pay the invoices that I send you promptly. Please note, all the creatives will have a watermark and you will receive the final copy of the creatives only when the payment is received. All projects under ₹10,000 are to be paid in full before the start of the project. All projects over ₹10,000 will require a 50% deposit, and the balance paid in full before delivery of the final design files. All work remains the property of The Ministry Of Pixels until the final payment is received. Clients may not use or distribute any works until paid for in full. Design and development services involve significant specialization and expertise; therefore, design projects should be regarded differently than manufactured products. My rates ensure appropriate compensation for my time.
Monthly Billings: Trusted clients requiring long-term and ongoing design work may be placed on a monthly billing cycle upon request. Clients on monthly billing will be invoiced on or around the last Monday of each month. Clients requesting a monthly billing arrangement are required to maintain current contact information and a valid credit card on file with The Ministry of Pixels.
Online Payments: Payments may be made online in several ways, including:
1. Bank or Wire Transfer
2. Google Pay or Phone Pay
3. Paypal (Only for international Clients)
Copyrights: Any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide me for inclusion are either owned by you or you have permission to use them. When I receive your final payment, the copyright is automatically assigned to you. You own the graphics and other visual elements that I create for you for this project. I will give you a copy of all files and you should store them safely as I am not required to keep them or provide any native source files that I used in making them.
Note: I reserve the right to use stock images where necessary (note: logo designs are 100% custom and do not contain stock images). Any concepts that are not chosen and paid for will be a violation of The Ministry Of Pixels’ rights if they are used elsewhere.
Disclosure: I will only disclose Client information or IP address when required by law or in the good-faith belief that such action is necessary to: Cooperate with the investigations of purported unlawful activities and conform to the edicts of the law. Protect and defend the rights or property of the website and related properties, or visitors to the Swati Tripathi website and related properties. I use every reasonable precaution to keep Client information secure and will not be held responsible for breach of security or the actions of any third party that receives information. I am not responsible for such third-party privacy policies or how they treat information about their users.
Refund Policy: We guarantee your satisfaction or your money back. However, the 50% advance amount will not be refunded if the work has already started.
Cancellations: You can make cancellations at any time. Please keep in mind that any payment made may not be refundable, depending on how much work was done on my end.
Content:
1. Text content: Content for the Design work is to be provided by the client. Once the content is shared, I will provide a sample for you to visualize how it will appear and make revisions to the designs as required.
2. Font information: I will provide all font names used in the design process. I do not provide the actual font files.
3. Photographs: You will supply all photographs and videos in digital format. If you choose to buy stock photographs and videos, I can suggest vendors of stock photography. It is the responsibility of the client to share correct images and ensure that nothing is repeated. Any correction required due to duplication of images will be counted as an edit.
